1. Acceptance of Terms

By accessing and using the oxbowseez website (oxbowseez.top) and services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

These terms apply to all visitors, users, and others who access or use the service provided by oxbowseez B.V., a company registered in the Netherlands with registration number 74916283.

We reserve the right to modify, suspend, or discontinue any service at any time without prior notice. We also reserve the right to refuse service to anyone for any reason at any time.

4. User Obligations and Responsibilities

4.1 Account Registration

When registering for our services, you agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorised use of your account

4.2 Acceptable Use

You agree not to:

• Violate any international, federal, provincial, or local laws or regulations
• Transmit any malicious code, viruses, or harmful software
• Interfere with or disrupt the integrity or performance of our services

4.3 Training Participation

When participating in our training programs, you agree to:

• Attend scheduled sessions punctually and prepared
• Respect other participants and instructors
• Maintain confidentiality of proprietary information shared during training
• Complete required assessments and assignments
• Provide constructive feedback when requested

5. Payment Terms and Conditions

5.1 Pricing and Fees

All prices are listed in Euros (EUR) and are inclusive of applicable VAT unless otherwise stated. Prices are subject to change without notice, but changes will not affect orders already confirmed.

5.2 Payment Methods

We accept the following payment methods:

• Credit and debit cards (Visa, Mastercard, American Express)
• Bank transfers (SEPA)
• Corporate invoicing (for approved business accounts)

5.3 Payment Terms

• Individual course payments: Due at time of registration
• Corporate training: 50% deposit required, balance due 30 days after completion
• Monthly programs: Payment due on the first day of each month
• Late payment fee of 1.5% per month may apply to overdue accounts

5.4 Refund Policy

Refunds are handled as follows:

• Cancellations more than 14 days before course start: Full refund
• Cancellations 7-14 days before course start: 50% refund
• Cancellations less than 7 days before course start: No refund
• No-shows: No refund
• Course cancellation by oxbowseez: Full refund or credit towards future courses

6. Intellectual Property Rights

6.1 Our Content

All content provided through our services, including but not limited to text, graphics, logos, images, audio clips, video, data compilations, and software, is the property of oxbowseez or its content suppliers and is protected by copyright and other intellectual property laws.

6.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use our training materials solely for your personal educational purposes. You may not:

• Reproduce, distribute, or transmit any content
• Modify, adapt, or create derivative works
• Use content for commercial purposes
• Remove copyright or proprietary notices
• Reverse engineer any software or systems

6.3 User Content

By submitting content to our services (such as feedback, questions, or assignments), you grant us a non-exclusive, royalty-free, perpetual license to use, modify, and display such content for the purpose of providing and improving our services.

8.2 Educational Outcomes

While we strive to provide high-quality training, we cannot guarantee specific educational outcomes, career advancement, or employment opportunities as a result of completing our programs. Individual results may vary based on effort, prior experience, and market conditions.

8.3 Limitation of Liability

To the maximum extent permitted by law, oxbowseez shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, data, or use
• Cost of procurement of substitute goods or services
• Interruption of business
• Any other commercial damages or losses

Our total liability for any claim arising out of or relating to these terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless oxbowseez, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of our services, your violation of these terms, or your infringement of any intellectual property or other rights of any person or entity.

10. Termination

10.1 Termination by You

You may terminate your account at any time by contacting us at contact@oxbowseez.top. Upon termination, your right to use our services will cease immediately.

10.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including if you breach these terms. Grounds for termination include but are not limited to:

• Violation of these terms of service
• Non-payment of fees
• Fraudulent or illegal activity
• Harassment of staff or other participants
• Misuse of our services or systems

10.3 Effect of Termination

Upon termination, all licenses granted to you will cease, and you must stop using our services. Sections of these terms that by their nature should survive termination will survive, including intellectual property provisions, disclaimers, and limitations of liability.

11. Force Majeure

We shall not be liable for any failure or delay in performance under these terms which is due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, pandemics, network infrastructure failures, strikes, or shortages of transportation facilities, fuel, energy, labour, or materials.

12. Governing Law and Jurisdiction

These terms shall be governed by and construed in accordance with the laws of the Netherlands, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms will be brought exclusively in the courts of the Netherlands, and you hereby consent to personal jurisdiction and venue therein.

If you are a consumer residing in the European Union, you may also bring proceedings in the courts of your country of residence.

13. Dispute Resolution

13.1 Informal Resolution

Before filing a formal legal action, we encourage you to contact us directly at legal@oxbowseez.top to seek a resolution. We will work in good faith to resolve any disputes.

13.2 Mediation

If informal resolution is not successful, disputes may be resolved through mediation before a qualified mediator in the Netherlands. The costs of mediation will be shared equally between the parties.

13.3 Consumer Rights

Nothing in these terms affects your statutory rights as a consumer. If you are a consumer, you may be entitled to use alternative dispute resolution procedures, such as those provided by the European Commission's Online Dispute Resolution platform.

14. Modifications to Terms

We reserve the right to modify these terms at any time. We will notify users of any material changes by:

• Posting the updated terms on our website
• Sending email notification to registered users
• Displaying a prominent notice on our website

Your continued use of our services after any modification constitutes acceptance of the new terms. If you do not agree to the modified terms, you must stop using our services.

15. Severability

If any provision of these terms is held to be invalid, illegal, or unenforceable, the validity, legality, and enforceability of the remaining provisions will not be affected or impaired.
